This second edition of the text continues with the practical approach adopted in the first edition in the exposition of what is undoubtedly a complex subject. A salient feature of the text is that the facts of most of the cases referred to have been set out in some detail to facilitate a better understanding of the decisions and underlying legal principles. The text is spruced up to not only take on board recent case law but also the new legislative initiatives; in particular, the major proposals in the Companies Bill 2013 have been noted, together with provisions of the Capital Markets and Services Act 2007 and the Malaysian Code on Take-Overs and Mergers, 2010.

Another salient feature of the text is that it draws liberally and sets out excerpts from some of the more important judgments under consideration so as to enable the reader to appreciate the thought processes of the judiciary in arriving at the decisions.

About the Author
Krishnan Arjunan was formerly an Adjunct Professor of Business Law at the School of Business and Management, Hong Kong University of Science and Technology. Prior to that, he was an Associate Professor of Law at the University of Malaya and The Chinese University of Hong Kong and Senior Lecturer in Law at the University of Queensland where he was Sub-Dean at the Department of Commerce. He was also a legal practitioner in Malaysia for over a decade and was a former Director of the Certificate in Legal Practice Course (CLP). He is the author of several other texts in law and has also published extensively in leading company and business law journals. He was the Section Editor for Hong Kong, Singapore and Malaysia for the Companies and Securities Law Journal (C & SLJ), Australia, for some years.
